Terms of Use for MORIKI PAPER ONLINE

Please read carefully the following Terms of Use before using “MORIKI PAPER ONLINE.”

Chapter 1 General Provision


Article 1(Terms of Use)

1.The following Terms of Use shall apply to all the matters regarding the services (hereinafter, “Services”), provided by MORIKI PAPER ONLINE (hereinafter, “Site” http://morikipape.com/), operated by Moriki Paper Company Ltd. (hereinafter, “Company”)
2.All users who use the Services agree to be bound by the Terms of Use by using the Site.
3.”Guidelines of Use”, the terms of conditions and the like, constitute part of the Terms of Use, and the Terms of Use includes all of them.
4.The Terms of Use shall apply to all users, who use the Service (hereinafter, “User”), including the Company and the Member (that is defined in Article 4) when the User uses the Services.

Article 2(Change of Terms of Use)

1.The Company may change the Terms of Use, by notifying the User of the change either on the Services or with other methods the Company determines appropriate, without prior consent of the User.
2.The User shall be deemed to agree to the change of the Terms of Use when the User uses the Services for the first time after the change.

Article 3(Use of Service)

1. The User shall use the Services in accordance with the Terms of Use and the rules, set forth separately.
2.The Company may change the contents of the Services or stop the Services without prior consent of the User.

Chapter 2 Member


Article 4(Member)

1.”Member” is defined as those who consent to the Terms of Use, apply for membership registration with the method specified by the Company, and is approved by the Company.
2.The Company shall approve the application for membership registration by sending an email confirmation of the registration.
3.The membership of the Services is not transferable, and must be used only by the registered Member.
4.The Company may not approve the application for membership registration if the application falls under any of the following items:
(1)When the Company finds that the applicant had been reprimanded in the past, including cancellation of the membership due to violation of the Term of Use.
(2)When there is a false statement, clerical error, or omission in the membership registration form.
(3)When the Company determines that it is inappropriate to approve the membership registration application for any other reasons.
5.The Company may cancel approval when the Company finds that the approved Member falls under any of the preceding items, even once approved.

Article 5(Notification of Change)

1. The Member shall notify promptly about the changes of the Member’s name, address, telephone number, credit card information and any other information submitted to the Company, by the method specified by the Company.
2.The Company is not responsible for disadvantages to the Member, caused by any failure of the notification, stated in the preceding paragraph.

Chapter 3 Responsibility and Obligation of Member and Users


Article 6(ID and Password Management)

1.The Member is fully responsible for the use and management of his/her long in ID and password, set by the Member himself/herself.
2.The Member shall agree that all activities conducted by using the Member’s log in ID and password are deemed the activities conducted by the Member himself/herself.
3.The Member shall not transfer, lend or disclose the Member’s log in ID and password to third party.
4.The Member shall be fully responsible for all damages, caused by insufficient management, error of use, or use of third party, of the Member’s log in ID and password.
5.The Company shall not be responsible for disadvantages and damages to the Member, caused by third party, using the Member’s log in ID and password, with or without negligence of the Member.
6.The User shall acknowledge the risk of divulging confidential information including credit card information, in relation to the payment, and act with self-responsibility to send the information upon using the Services.

Article 7(Prohibited Act)

The User must not engage in any of the following acts.
(1)Applying for membership registration with false information upon using the Services.
(2)Interfering with operation of the Services or possible cause of problems to the Services.
(3)Unauthorized use of credit card for the Services
(4)Unauthorized use of log in ID and password.
(5)Causing or possible cause of troubles, disadvantages or damages to other User, third party or the Company.
(6)Infringing or possible infringement of intellectual property rights, including copyright, privacy, personal right, and any other rights of other User, third party, or the Company.
(7)Offending public order and morals.
(8)Criminal acts or any acts leading to a crime.
(9)Any illegal or potentially illegal acts
(10)Any other acts the Company determines inappropriate

Article 8(Suspension of Service, Cancellation of Membership)

The Company may suspend the Services or cancel membership of the User without any prior notice when the User falls under any of the following items.
(1)When the Company finds that the User had been reprimanded in the past, including cancellation of membership due to violation of the Terms of Use.
(2)Overdue payment obligation of the Services and any other failure of obligation.
(3)Engaged in any of the prohibited acts, stated in Article 7(Prohibited Acts).
(4)Any other violation of the Terms of Use.

Article 9(Copyright)

1. The User may not use any information provided through the Services without authorization by the licensor, beyond the limitation on copyright such as private copying provided by copyright law.
2. When any violation of the terms in the preceding paragraph causes any problems, the User shall take full responsibility to resolve the problems at the User’s expense, and shall not cause any inconvenience or damages to the Company.

Chapter 4 Purchase of Product


Article 10(Purchase of Product)

1.The User may purchase products or services (hereinafter, “Products”) from the Company by using the Services. .
2.When the User wishes to purchase the Products, the User shall apply for purchase of products or use of the Services in accordance with the method, specified by the Company. The information the User sends shall be true and accurate. .
3.When the Company approves the application, stated in the preceding paragraph, the Company shall send a confirmation email to the email address written or sent in the application, and the User shall acknowledge the confirmation. .
4.Despite of the terms in the preceding paragraph, if the User engages in any dishonest or inappropriate acts to use the Services, or if the transaction made by the User is not approved by the credit card company, the Company may suspend, decline or cancel the order, or take any other appropriate actions.

Article 11(Method of Payment)

1.The amount of payment for the Products is the total amount of the purchased goods (including consumption tax) and handling charges (e.g. delivery fee).
2.An available payment method for the Products is credit card only which verifies the User as an authorized cardholder.
3.Upon the credit card payment, the User shall conform to the conditions imposed by the credit card company. In the event of a dispute between the User and the credit card company, both of the User and the credit card company shall resolve the dispute; thus the Company shall accept no liability.

Article 12(Price of Product)

The amount of payment for the Products is determined at the time of purchase. However, when the proper price for the pre-ordered products is revised before its release, the revised price applies as the proper price for the products.

Article 13(Return and Exchange of Products)

1. The Company shall accept return or exchange of the Products only when the Company is liable for damage of the Products during delivery, defects of the Products, or wrong product delivery.
2. We shall not accept return or exchange products in any of the following cases.
(1)When they are tainted or damaged under responsibility of the User.
(2)When they are used for trial.
(3)When it passed over a week after the arrival of products.

3.Please contact the Company within 3 days after the arrival of products and return the products to the Company within a week if the User wishes to return or exchange the products.

4.The User shall return/exchange the products by the method, set forth separately by the Company.
5. The User shall bear all handling charges, including shipping and refund, for return/exchange due to the User’s personal preferences.

Article 14(Disclaimer of Product)

1.The Company shall not guarantee the quality, performance, or compatibility with other products as to any aspects of the Products, that are not stated in the description on the website in the warranty, except in case of intent or gross negligence of the Company.
2.The Company shall be exempt from liability (for troubles, caused by unknown delivery address, etc.) by informing of the delivery failure to the contact, registered by the Member and shipping to the address, specified by the Member at the time of purchase.
3. The Company may cancel the order when the ordered product gets out of stock or unavailable due to the change of inventory status. However, when a part of multiple items order is in short supply, the Company shall cancel only the unavailable item.
4.Although the Company shall make its best efforts to keep the description and representation of products as accurate as possible, the Company does not necessarily guarantee its accuracy, completeness, and timeliness. It gives priority to the present condition when it’s is different from the description and representation.

Chapter 5 Operation of Service


Article 15(Use and Delete of Information)

1.The information registered by the Company or the User may be used for the Services or by our affiliated companies, when the Company determines appropriate, without notification to the User. However, as to personally identifiable information including name, address, and telephone number, the Company shall protect and manage properly, taking safety measures, as well as comply with the Personal Information Protection Law and other related laws.

2.When the information falls under any of the following items, the Company may delete the information without any notification to the User. And, the Company shall be able to use the comments and other information sent to the Company in the past, in addition to the ones newly sent, with the method specified by the Company for the Services or by the affiliated companies, unless otherwise requested by the User.

(1)When the information clearly infringed copyright or other rights of the Company or third party, or damaged the reputation and credibility of the Company or third party.
(2)When the Company received a warning from third party that the information infringed copyright or other rights of third party, or damaged the reputation and credibility of third party.
(3)When it’s confirmed a clear violation of Japanese law or applicable foreign law.
(4)When the Company received an order of deletion, based on the law, by any public institutions, such as a public office and a court of law.

Article 16(Maintenance of Service)

The Company may stop providing part or all of the Services without prior notice to the User under any of the following items;
(1)When scheduled or emergency maintenance of the system is taken place.
(2)When it’s difficult to operate the system due to fire, power outage, natural disaster or sabotage by third party
(3)When the Company decides that suspension of the Services is necessary.

Article 17(Other Disclaimer)

1. The Company shall bear no liability to the User for any disadvantages, caused by unavailability of the Services for the User, except in the case of intent or gross negligence of the Company.
2.The Company shall bear no liability to the User for any disadvantages, caused by the clerical work handled by the Company, in accordance with the contents of the User registration.
3.When the User caused any damages to other users or third party by using the Services, the User shall take full responsibility to repair the damage at the User’s expense, and shall not cause any inconvenience to the Company.

Article 18(E-mail)

1. The email address the User registered shall not be shared with anyone else, and is used only for the registered User.
2.The Company may use the User’s registered email address to communicate with the User.
3.The Company is not liable for any disadvantages to the User, caused by sharing the email address with third party when it’s under the preceding paragraph.

Article 19(Applicable Law)

The Terms of Use shall be construed and applied in accordance with the laws of Japan.

Article 20(Jurisdiction by Consent)

Any disputes regarding use of the Services shall be subject to the exclusive jurisdiction by consent of Tokyo District Court as court of first instance.
